ALL SALES ARE SUBJECT TO TERMS AND CONDITIONS AS FOLLOWS
TO-WIT:
(1) TERMS: Payment in full on each invoice due 30 days
from invoice date, unless stated otherwise on the face
of this document.
(2) Unless specified otherwise, all sales are F point
of shipment. Title to the goods and risk of loss shall
pass to the Buyer subject to Weldinghouses’s right of
stoppage in transit to secure payment of the sales price
for the goods.
(3)Past due balances due Weldinghouse shall bear interest
at the highest rate allowed by law.
(4) Payments due Weldinghouse shall be made at 4833 Leopard,
Corpus Christi, Nueces County, Texas 78408.
(5) “EXCEPT AS SET FORTH IN A SEPARATE WRITTEN WARRANTY
SIGNED BY WELDINGHOUSE, THERE ARE NO EXPRESS OR IMPLIED
WARRANTIES, OTHER THAN MANUFACTURERS WARRANTIES, IF ANY,
APPLICABLE TO MERCHANDISE AND/OR EQUIPMENT PURCHASED FROM
WELDINGHOUSE (OTHER THAN WARRANTIES OF TITLE) AND WELDINGHOUSE
DISCLAIMS ALL IMPLIED WARRENTIES, INCLUDING, WITHOUT LIMITATIONS,
WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR
PURPOSE.”
(6) This document may show a Hazardous Materials Fee and/or
Delivery Charge. This fee or charge is not mandated by
any Federal, State, or local government entity and is
in fact retained by Weldinghouse. Although Weldinghouse
has made no attempt to quantity the actual cost of compliance
with government regulations or cost of delivery, Weldinghouse
intends that this fee is an effort to recoup those estimated
additional costs.
PLL EQUIPMENT RENTALS ARE SUBJECT TO TERMS AND CONDITIONS
AS FOLLOWS:
Customer, as Lessee, leases the equipment more fully described
on the reverse side hereof, from Weldinghouse Inc. (hereinafter
“Weldinghouse”) as Lessor and Customer agrees that (1)
Customer has received all of the equipment described on
the reverse side hereof in good operating condition, (2)
Customer agrees that he/it shall use said equipment in
a skillful and workmanlike manner and shall not injure
or abuse the same, (3) Customer shall protect and indemnify
Weldinghouse against all loss, injury or damage to any
or all of said equipment whether due to act of God, negligence
of others, accident casualty, or due to any other cause,
it being intended that Customer is and shall be a full
insurer of all said equipment (4) Customer at his own
cost and expense shall insure and keep insured, in companies
acceptable to Weldinghouse all of said equipment against
loss or damage by fire, theft, explosion, accident or
other casualties and shall furnish original or copies
of all such policies, together with proof of timely payment
of premiums, to Weldinghouse (all such policies shall
be endorsed in favor of Weldinghouse as its interests
may appear) (5) Upon termination of this equipment rental
agreement, Customer shall return all of said equipment
to Weldinghouse at 4333 Leopard, Corpus Christi, Nueces
County, Texas 78408, at Customer’s cost and expense, in
the same condition as when originally picked up by the
Customer or delivered to Customers designated location,
normal wear and tear and depreciation due to normal use
excepted, but nothing herein contained shall limit liability
of Customer as full insurer as otherwise provided in (3)
above, and (6) if Customer defaults under this equipment
rental agreement, Weldinghouse, without notice, may re
take possession of any or all of said equipment, wherever
located to the extent allowed by law, without liability
for trespass, conversion or damages, (7) title to all
of said equipment shall be and remain solely in Weldinghouse;
(8) CUSTOMER ACKNOWLEDGES THAT THERE ARE NO EXPRESS OR
IMPLIED WARRANTIES, REPRESENTATIONS OR GUARANTEES OF ANY
KIND APF TO ALL OR ANY PART OF THE EQJIPMENT PURSUANT
TO THIS AGREEMENT AND WELDINGHOUSE DISCLAIMS ALL IMPLIED
WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF
MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE;
(9) This equipment rental agreement evidences a lease
of the equipment described on the reverse side hereof
and not a security interest in same.
